1. Introduction
Welcome to FoxClipper. These Terms of Service ("Terms") govern your use of the FoxClipper platform, including our website, desktop application, and related services (collectively, the "Service"), operated by the publisher ("we", "us", or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
2. Description of Service
FoxClipper is a product catalog management platform that enables users to:
- Connect to CRM systems (Odoo, Shopify, and others)
- Look up product information in real-time
- Manage product data through our desktop application
- Configure field visibility and organization
3. Account Registration
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your password and account
- Promptly update your account information if it changes
- Accept responsibility for all activities that occur under your account
4. Subscription and Payment
Pricing: The Service is offered at 20 EUR per user per month, billed monthly, or 200 EUR per user per year with annual billing (17% savings). Promotional offers may apply.
Free Trial: New users receive a 3-day free trial with full access to all features. A valid payment method is required to start the trial, but you will not be charged until the trial period ends. You may cancel at any time during the trial.
Billing: After the trial period, you will be billed based on the number of active users in your organization and your chosen billing cycle. You may add or remove users at any time, with changes prorated accordingly.
Cancellation: You may cancel your subscription at any time through your account settings or the Stripe customer portal. Access will continue until the end of your current billing period.
5. Right of Withdrawal
In accordance with Article L221-28 of the French Consumer Code, by starting your free trial and accessing the Service, you expressly request immediate access to the digital content and acknowledge that you thereby waive your right of withdrawal.
You may still cancel your subscription at any time. If you cancel during the free trial period, you will not be charged. If you cancel after the trial, you will retain access until the end of your current billing period but will not receive a refund for that period.
6. User Obligations
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble any part of the Service
- Share your account credentials with unauthorized parties
- Use the Service to store or transmit malicious code
7. Intellectual Property
The Service and its original content, features, and functionality are owned by the publisher and are protected by international copyright, trademark, and other intellectual property laws.
Your data remains your property. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.
8. Third-Party Integrations
The Service integrates with third-party CRM systems. Your use of these integrations is subject to the terms and policies of those third-party services. We are not responsible for the availability, accuracy, or content of third-party services.
9. Limitation of Liability
To the maximum extent permitted by law, the publisher shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of France.
